Our Constitution
DOMOS Art Advisory Network Constitution
1. Name
The name of the organization shall be DOMOS Art Advisory Network (hereinafter referred to as "the Network").
2. Objectives
The objectives of the Network are:
a. To connect art advisors and experts with individuals and institutions seeking art-related advice.
b. To promote the highest standards of professionalism and ethics in the field of art advisory.
c. To provide educational resources and events related to art advisory, including talks, lectures, and workshops.
d. To foster a community of art professionals dedicated to the enrichment and accessibility of the art world.
3. Membership
a. Membership is open to individuals who are art advisors or experts and who support the objectives of the Network.
b. All members must agree to abide by the constitution and any by-laws or rules established by the Network.
c. Membership applications shall be reviewed and approved by the Committee.
d. Membership shall be renewed annually, subject to the payment of any applicable fees and adherence to the Network's standards.
4. Governance
a. The Network shall be governed by a Committee, which shall be responsible for the overall management and direction of the Network.
b. The Committee shall consist of a Chair, Secretary, Treasurer, and up to five additional members elected from the membership.
c. Committee members shall serve a term of two years and may be re-elected.
d. The Committee shall meet at least quarterly, with additional meetings as necessary.
5. General Meetings
a. An Annual General Meeting (AGM) shall be held each year, at which the Committee shall report on its activities and present the accounts for approval.
b. Notice of the AGM shall be given to all members at least 21 days in advance.
c. Extraordinary General Meetings (EGMs) may be called by the Committee or by a petition signed by at least 25% of the members.
d. A quorum for General Meetings shall be 25% of the membership or 10 members, whichever is fewer.
6. Finance
a. The Network shall be funded by membership fees, donations, and any other lawful sources of income.
b. The Treasurer shall maintain accurate financial records and present them at each Committee meeting and the AGM.
c. The Network's funds shall be used solely for the furtherance of its objectives and shall not be distributed to members except for reimbursement of reasonable expenses.
7. Conduct and Ethics
a. Members shall adhere to the highest standards of professionalism and ethics in their conduct.
b. The Network shall establish a Code of Conduct to which all members must agree.
c. Any member found to be in breach of the Code of Conduct may be subject to disciplinary action, including suspension or expulsion from the Network.
8. Amendments to the Constitution
a. Amendments to this Constitution may be proposed by the Committee or by a petition signed by at least 25% of the members.
b. Proposed amendments shall be submitted to the membership at least 21 days before a General Meeting.
c. Amendments shall be approved by a two-thirds majority of those members present and voting at the General Meeting.
9. Dissolution
a. The Network may be dissolved by a resolution passed by a two-thirds majority of those members present and voting at a General Meeting.
b. In the event of dissolution, any remaining assets shall be distributed to a non-profit organization with similar objectives, as determined by the Committee.
